Introduction

The Central Depository & Settlement Corporation Limited (CDSC) is a limited liability Company approved by the Capital Markets Authority to provide automated clearing, delivery and settlement facilities in respect of transactions carried out at Nairobi Securities Exchange as well as holding of listed and non listed securities including other documents of title on behalf of investors.

Incorporation

The Central Depository & Settlement Corporation Limited (CDSC) was incorporated on 23rd March 1999 under the Companies Act, 2000. CDSC formally started operations on 10th November 2004.

Nature Of Business

The business of the Company is to establish and operate a central depository system and provide central clearing, settlement and depository services for securities initially in Kenya in respect to securities listed on the Nairobi Stock Exchange. The central depository system provides a centralized system for the transfer and registration of securities in electronic format without the necessity of physical certificates.

Company Objectives

The main objectives for which the Company is established are:-

  1. To provide central clearing, settlement and depository services for securities whether held in electronic form or otherwise and to provide all services which may reasonably be provided by a central depository system company.
  2. To establish and operate a depository and a centralized system for the transfer and registration of securities which permits and facilitates the:
  • Immobilization and/or dematerialization of all such securities and which enables dealings in respect of those securities to be effected by means of entries in securities accounts without the necessity of certificates; or
  • Settlement or registration of securities transactions or dealings in securities without the physical necessity of certificates; or
  • Provision of other facilities and services incidental thereto; and
  • Provision of auxiliary facilities and services incidental to a central depository, clearing and settlement system.

      3. To promote, effect, participate in, manage and carry out any issue public or private, of corporate, state or municipal loans, stocks or shares or other securities and to lend money for the purposes of such issue and to           make advances upon, hold in trust, issue on commission, sell or dispose of any security of any description and to act as an agent for any of the above or the like purposes.

SHARE CAPITAL

The authorized share capital of CDSC is Kenya Shillings two hundred million divided into two million shares of Kshs 100 each, out of which Kenya Shillings One Hundred and Seventy Five Million is issued and paid up.
